try setting up the IRQ's from the device manager. right click mycomputer click properties, click on the sound card settings go to properties and change and see the IRQ settings and reboot. Do for each of the hardware. both the sound and modem cant be on the same IRQ it should have different numbers. check whether there is conflict in the hardware IRQs

I am assuming that W2K is the same as XP, and will not allow you to change the device IRQ assignments.

Pick 1 or 2 devices, and remove them from device manager. (you might start with the modem)
For the modem, also remove it from Control Panel, Modems!
Shut down the PC, and physically remove the card(s).
Boot up, anmd make sure everything else still functions.
Shut down.
Re-install the device in a different slot.

Even if the same IRQ is assigned, this usually takes care of the problem.

Next, make sure that you have the latest W2K drivers installed for all hardware:
Motherboard / Chipset
Video Card
Sound Card
Modem

Finally, I have seen some instances where certian sound cards and modems just do not work well with some motherboards.
Try a modem and / or sound card with a different make of IC on the card.

Well, The advice already given is sound but I wouldn't go into device manager and redo the IRQ settings. You'll cause more trouble than it's worth.
Devices share interrupt requests. Because they do doesn't always mean there is a conflict. First give us the brand of motherboard you have. Almost all new motherboards [within the past 3 to 4 years] do have the choice of using the BIOS or a PnP aware O/S for assigning system IRQ resources.

As Chas pointed out, you may simply need to ensure you have the latest drivers installed. Another question, I assume the Vid card is a PCI. Does your motherboard have an AGP slot? Possibly changing to an AGP vid card will free up the IRQ resource sufficently for your other devices to work.

If available you can try moving PCI devices to an open slot.

To free up resources, if not in use disable one or both of the com ports in the BIOS.
