Try typing 'NET HELPMSG <ERR#>' at a command prompt on your NT server. This will display further information on the error message. In this case the 2140 is a problem with the software. I would then suggest checking the Microsoft Online Technet webpage(http://support.microsoft.com/servicedesks/directaccess/) with a keyword search for 'Event ID:2140' and the 'Exchange Server' product selected. This returns a whole heap of technote articles, and the 20th item in the list is 'XADM: Events Service Fails to Start with MAPI 8040107'. If you look at this article, it seems to be your problem and the solution is to copy two files from the Exchange Server CD (in the Server\Setup\<Platform> directory emsmdb32.dll and mapi32.dll) over the top of the ones on your server.
Check out this web page for further info: http://support.microsoft.com/support/kb/articles/q190/9/93.asp

Has this server been removed and reinstalled to the site? If a server is removed from a site with the Event Service running and then
reinstalled in the site, duplicate copies of a Microsoft Exchange Server
5.5 EventConfig public folder may appear in the Events Root folder, see Q187523. With duplicate folders the service won't start, as noted in Q190993. Also, Q187523 explains how to remove the duplicates. If this is not the case, as always, check that the account and password are correct in the startup properties of the service and ensure that the account has the correct privilages on the server.

Event ID 2140:
An internal Windows NT error occurred.

To work around this issue:
1. Delete the NetBEUI and TCP/IP protocols.

2. Shutdown and Restart your computer.

3. Add the NetBEUI and TCP/IP protocols, performing the binding.

4. Shutdown and Restart your computer.

5. Reapply your latest Service Pack.

6. Shutdown and Restart your computer.

7. Restart the Internet Mail Service.

Check the value of the registry key, and edit it if necessary so that it matches
the corresponding registry key.

1. Start Registry Editor (Regedt32.exe).

2. Under the HKEY_LOCAL_MACHINE subtree, go to the following subkey:

System\CurrentControlSet\Services\MSExchangeMTA\Parameters\X500 DN

3. Check the VALUE for this key. The Organization [o=], Site [ou=], and Server
Directory names [cn=] must exactly match the properties of the Organization,
Site, and Server objects asdisplayed in Microsoft Exchange Administrator
program.

To see whether these objects match the value of the registry key:

a. Click on each of these objects in the left-hand pane of the Microsoft
Exchange Server Administrator program.

b. On the File menu, click Properties. The Directory Name of each of these
objects should exactly match the corresponding attribute in the registry
setting described above.
