Two domains and one physical LAN

Good day. I wonder if someone could help me set this up.

Domain A
1. Billion Biguard30 with one DSL link
2. Server 2008 R2
3. Exchange 2010
4. DHCP
5. DNS
6. RAS
7. 40 Users

Domain B
1. Billion Biguard30 with one DSL link
2. Server 2003 R2
3. Exchange 2000
4. DHCP
5. DNS
6. RAS
7. 20 Users

Both domains have to use one Biguard 30 with load balancing on the two DSL links
The two networks will have to see each other as there is some resources that they with share.

Double DHCP?

I'm no netadmin (just a "superuser"), but...
How do you make it work with two sets of DHCP on the same subnet?

physical lan doesn't necessarily mean same subnet

all computers on the same physical lan do not have to have the same addressing [subnet].
