Several things...Quick tips to fix..
1.Start,run, type msconfig and go to advanced. Kill the box for fast shutdown option.

2.Start,run,msconfig..startup tab...you can kill three items that are checked at a time. do a full reboot and then try to shutdown. If this doesn't fix it, you can go back and enable those three and kill the next three. Keep this up until the right one is found. Make sure to do a full reboot before trying the new changes.

3.windows update has some patches that might work..this prob. is generally a microsoft glitch.,

This is often due to a bad device driver. Mainly drivers for VGA Cards, NIC's or special IDE drivers for your mainboard can cause this problem. Always try to find the newest available drivers for the respective hardware on the internet then install them. This often resolves the problem. A BIOS update for your mainboard may also help, but go about this with care, you can loos the mainboard if you things go wrong during the update or if you try to update with the wrong version.

Another thing that can cause it is a hanging irq from a printer, serial device, or even usb. If they don't release the irq fast enough, windows will hang

Strangly enough, it could also be a corrupt or misbehaving program in the startup folder. To test this out, move all startup folder contents to a new folder on your desktop, then shutdown and restart with the new 'clean' startup folder, then shutdown to test.

If that's it, move the items one at a time back into the start-up folder, testing for slow shutdowns after each one with a reboot, in order to identify the offending program.
