It is a application that supports 32bit window applications,it is accessed at the hardware level during start up,to locate, open explorer, then windows and the win32.exe file,or Start>Find>Files and Folders.
This file should be on the ERD,and if corrupt, should be installed from the disk, from the System.ini file on the disk

Found this at another site:This IS NOT A MICROSOFT File...
your system will run ok with out it
If you are still having this problem.
go to start>run>sysedit
open your win.ini file
under the [windows] section
locate the line that says LOAD=":\windows\win32sys.exec and remove all but "LOAD="

this should take care of your problem
also you should run a current anti-virus program
that can check for other trojan horse viruses

Microsoft also tells you how to disable it here:

The reason you can't find it is that the system files on the CD are stored within *.CAB files. Microsoft makes a tool called CABView (included in their PowerTools kit) that can look inside CAB files and I understand that WinZip v7.0 can do so as well although I haven't tried it.
