Global improvements in corporate governance bear remarkable similarities concerning board makeup, ethical behaviour in high places and the differentiated roles/responsibilities of the board and CEO relative to disclosure obligations, auditing, financial reporting, and investor protection. There is fairly universal agreement that the board, as representative of the shareholders, and the CEO, as leader of the management team, collectively set the direction of the corporation, each in their differentiated roles. In so doing, they jointly define what good looks like for all the world to see.
