Like it or not Oz and RCom are both right.

According to Microsoft (http://support.microsoft.com/default.aspx?scid=kb;en-us;137539)
This is a hardware or driver related failure.

The only way to get to bottom of it is to do the things listed here and in the KnowledgeBase article.
Check the memory: New does NOT mean functional. New memories have defects too.

Undo any overclocking settings on the card, the CPU, and memory.

Use the factory recommended drivers.

If you do all of this and it still fails then try different memory, a different card, or a different CPU. (Not all at once!)

If instead by using every as origionally packaged (factory drivers and no overclocking) works, then try ONE change at a time in order to figure out which one is causing the problem.

You wouldn't believe how often the solution to "My computer won't turn on." is "Is it plugged in?" Try the simple stuff first, if that doesn't work then we can get to the hard stuff.
