I wouldn't have my proxy in a pc that's doing anything else - you'll have users on your back every 5 minutes when the thing needs rebooting.

I'd get a pc, install a second nic and load linux and squid. Use iptables to redirect the web traffic through the firewall/proxy and that'll give you a beautiful reliable transparent proxy.

Load something like webmin to make simple the admin of iptables with something like shorewall maybe, and to manage the squid properly.

Squid will easily handle your cacheing and also has good ACL, and throttling capabilities.
