There are actually a number of things that Microsoft recommends for resolving this problem.

1. If you are running McAfee VirusScan 4.x+ it is necessary that you disable the VirusScan scheduler.

2. Your motherboard may not support PCI IRQ steering. Check with the motherboard manufacturer and if it is not compliant open up device manager and uncheck the box to use IRQ Steering in the PCI Bridge device.

3. You may have a video card that requires a real mode IRQ assigned. Check with the card manufacturer to verify if it is required and if so set the BIOS to assign an IRQ to the VGA card.

4. It is possible that the BIOS on the motherboard you are using is not fully compatible with Windows 98. Restart the computer in "Safe Mode Command Prompt Only" and rename the file BIOS.VXD in \Windows\system to BIOS.OLD, restart the computer and attempt a shutdown. If this resolves the problem contact the Motherboard manufacturer for a BIOS update.

5. There is an update that addresses shutdown issues

Try deactivating active desktop if it is running as this is known for causing windows to hang on shutdown.

I had same problem before, try the Shutdown troubleshooter in Start --> Help. With my computer, i had to disable quick shutdown in msconfig. In Start --> Run type msconfig. In the frist tab, disable that quick shutdown or something like that. Click on OK then reboot the sys.
