Conflict Between Modem And Network Controller

I’m attempting to help a friend get on-line with a Compaq Deskpro 4000, with Win ME O/S. It seem there is a conflict between the modem and the network controller, which is part of the motherboard. I can work around it by going to the network icon in the control panel and removeing the network controller, but the next time I boot up it gets installed again. F10 at boot up will not let me into cmos setup, even after attempting to reset the password by moving jumpers on the motherboard. I get a msg. at bootup thats states that F12 will do a network service boot. Any Ideas?
