NT / Exch. will not shutdown

Hi. I have an NT 4.0 Exchange Server that is slowly losing services and will not shutdown/restart from the Start button. I cannot open Exch. Admin. or User Manager. I cannot shutdown Exch. Sys. Attend. service. Is my only resort to reset or power down? Have I been hacked? HELP! TechNet has none.
