Offshore developers and intellectual property

Most of the ads from off shore developers state that the end client will own all intellectual property rights. What if the developers re-use code from another clients project on mine. Won’t they be involving my company in infringing on the first companies IP rights? The answer is obviously yes if the re-use an entire system. What about if they just re-use some generic sub-routines and modules?
