Where to find emerge.exe for Exchange

We are planning to build a replacement of our Exchange Server, and we want to move the mailboxes or any information needed from old Exchange Server 5.5 to the new Exchange Server 5.5.

What are the methods? Anybody know how to use exmerge.exe, andwhere can I find it?
