Windows 2000 server vs Windows 2003 server

my company is thinking of updating to windows 2003 from windows 2000. what are the pros and cons of updating to win 2003 server? we are on a budget, and according to our computer guru, and is not involved in the decision making of this update said, it is not a good idea and would cause a lot of kaos?
