ASUS P5B MX/WIFI + Intel Core2Duo problems

I recently purchased ASUS P5B MX/WIFI (946) and Intel Core 2 Duo CPU 2.2 GHz to assemble my PC.

I am facing the following problems:

1. Intel uCode error, press F1 to resume.

2. No audio output.
I have installed the Realtek HD audio drivers on my PC and I am able to see the volume control on my PC. When I run the Realtime player I can see the progress bar moving but does not give any sound output.

3. The Asus PC Probe shows the MB temperature is 51.C

Is my motherboard defective?? The dealer says it is because of older BIOS version and I need to ugrade my BIOS with the latest version from the Internet.
