BSOD when shutting down.

I upgraded an WINNT 4.0 W/S to W2K Professional. Installed all the service packs and patches for the system as recommended by MS. It works great, until you shut it down BSOD with the message STOP:0x0000009F(0x00000100,0X82005F00,0X82007B07. Driver_power_state_failure. MS says that an ACPI causes this. Any suggestions?
