Can’t access a Floppy Disk

I’m sure this is a common question, but I can’t find any related answers. I tried to access a floppy disk with WIN2000PRO, but it keeps ask me to format it. I can open it with WIN98-2nd, I can read some files, but some of the files are corrupted, I guess. I can read the size of all the files, but just can’t open all of them. I tried ScanDisk, but didn’t work!

Question 1: Reason can read in WIN98, is it because the floppy is in FAT not FAT32?
Question 2: Is there any solution to it, except reformat (Datas are very important)?
