Fatal exception at shutdown

I am running Win 98se with a Amd K62 500 processor with 96 megs of ram. When I go to shutdown I get a fatal exception screen 0E at 0028:c1569739 in vxd called from 0028:c001c304 in vxd NDIS (01)+ 00004860. I have looked and found alot of info on 0e errors but not this one. When I click enter to get past the screen it goes to the shutdown screen and hangs up there. I am also getting random fatal exception screens. Any help would be appeciated.
