MSXML Failure durng Setup

I have a standard VB exe which uses msxml.dll and
other .ocx. When I try to run the package wizard,it
gives a message which says “For msxml.dll no
dependency files where found” .I proceed with this and
finish the setup. Now when I run the setup it gives me
error “Initialization of msxml.Dll failed”.

I have no clue what is happening???

Please Help!!!

PS:I have tried with msxml3.dll and msxml.dll…but
its the same story
