No Delete/Allow Modify permission in W2K

I administer a Windows 2000 server with Win98 work-station. I need to implement Security Permission Settings on Drive D in the server such that the users are not allow to delete the Excel Files but able to modify it and save under Excel format. Any idea how to do it?
