No Sound AC97 Audio Device Conflict

How do I resolve a conflict with a sound device. PC running win xp home, AMD Sempron 2400, Ecs 741GX-M motherboard w/ onboard sound. Sound and Audio Device Properties (No audio device) Device Manager shows conlict symbol.
