Putting Excgange 5.5 on a 2000 Server

Due to budget constraints, I will be installing Exchange 5.5 on our 2000 Server. Any warnings about issues, glitches, or problems I may run into? Also What do I need to transfer from our NT4 machine currently running the program to the new machine to preserve our mailboxes, about 70 of them?
