Replacment Of PDC & Exchange

Replacing the PDC & Exchange
I have been given the task of replacing our existing PDC with a new PDC and a new exchange server. The existing PDC is hosting all of our user home directories, print server, DHCP server, WINS server and exchange 5.5. My question is what is the best way to replace the PDC and move exchange to another server? I want to rebuild the servers as a clean install if possiable as they have been running for 5y downtime is not an issues as I have a 48h window.
