Sharing win2000 folder from win98 pc

I have a win98 pcs to share files from win2k pc.
On win2k pc, C: properties, sharing shows IPC$,C$ and C (created by me) with “Everyone” & Full control.

On win98 pc, i see win2k pc and no shares.
When I click on win2k icon,
I get
a window pops up:
Enter Network Password
Supply pw to make this connection
Resource \\Win2kPc\IPC$

Why I am not able to see win2k share C and why is it asking for pw for IPC$?

Help!!
