TROUBLE WITH UP GRADE

I have a desk top pc with windoes millennium. i am trying to upgrade to xp.when it starts loading after 20 minutes screen turns blue with fatal error [3E6H ]and i cannot get out of it.I reformatted the hard drive re installed windows millennium and same results.Pc is 266 has 64m ram
7.5 gig hard drive, THANKS BEN
