W2K Server WOL Problem

I have a Windows 2000 Server running on Compaq hardware with a D-link DFE530-TX Rev A3 WOL NIC.

When W2K Shuts down it disables WOL and powers down the NIC. A Windows98 Disk in the same box leaves the WOL active and can be woken.
