Win 32 out of memory error

When installing or updating software, I get an error window that pops up that says there is not enough free memory to run Win 32. It then either aborts the installation or locks up the machine. The machine is an AMD K-6 with 768 megs of ram. Why does this happen and how can I fix this problem so that it stops happening?
