Win2000 contsantly reboots into setup

I’ve just upgraded a Win98 PC to Win2000 Pro SP3, upgraded the FAT32 disk to NTFS and each time it restarts it re-runs setup. The CD is out of the drawer (not set to boot from CD anyway), not seen this before but heard of it. Can anyone help please?
