Windows 2k wakes up after shutdown

i have windows 2k machine that wakes up after its shut down over night. but not all the time some times its ok,,,but some mornings i go there and its up again. I dont know if i am getting hacked,,,or its a service thats running in the back ground. this pc is connected to a phone line?
