Windows XP Logging off / System Shutdown

My system seems to have a problen logging off and shutting down. After making log off or shutdown selection, it takes about 5 minutes to successfully shutdown. I always see a dialog box requesting to end the process devldr32. Sometines I see this twice. Is it just an incompat. driver? Any comments that might help are welcome.
