MSGSRV32 has caused a ……

MSGSRV32 has caused a general protection fault in GDI.exe

I am really lost on this one.
MB: Magic Pro (MD-S7V-D)
RAM: 256 DDR
on-board: Video and sound.

I am having a avery hard time just trying to install Windows 98 (Actually any O/S)
I have changed the RAM, takin out all hardware just leaving the HD and cdrom.
I have also changed the HD and CDrom not to mention updated the BIOS…But i get the same problem each time I try to install any o/s
Once this message appears, I can do nothing more as it freezes up.

HELP
