Setting shares and ntfs permissions for

I am setting up the users permissions for the directory structure and a bit unsure of the correct way to assign permissions. I would like to make a top level folder shared with the folders below read only so the no more folders can made in this dir with all data being saved below the 2nd level of the folders. The permissions then would be assigned ntfs.
