Using MSXML2 objects

I have an NT4 build. I have set the msxml3 references and the dll’s are registered. However when I try to instantiate DOMDocument30 objects I get the “Can’t Create ActiveX object” exception. NOTE: I HAVE SET THE REFERENCES. What am I missing?
Are there other dependencies ? (I have ie5).
