CPU Upgrade Q?

FAX: IBM 350 PII motherboard: SE440BX AA698736-405 in an old Micron PC, w/IBM 6.4B HD & want to upgrade ‘cuz it just don’t “keep pace” w/mod apps I run & wonder wonder if I can just upgrade the processor to a PIII or better & the HD w/o having to replace mother and all my other antiquated hardware. Hurry: my law school homework is due and system just isn’t cutting it!
