Domain Controller replacement.

Ok Friends. I have a single domain network. I want to replace the DC with a new server I just bought. I will be creating everything from the ground up on the new server, including user accounts If possible, I’d like to just take the one down andreplace it with the other. I want nothing from the other server. Now. My question is how impossible is this going to be? I am running 2000 Advanced Server. Will I have to rebuild my exchange server as well? Any help will be greatly appreciated.
