Ethernet lan cards not accepting drivers

i have two ethernet lan cards(rt8139c/rt8139d). both are detected by the system(win xp pro), but not accepting the drivers, i lan card drvier installation cd but they are not accepting it. is there any problem in the card or in the motherboard?
