Fatal Exception messages

I have a Dell XPS B, 128 RDRAM, Win 98SE and primarily receive fatal exception messages when shutting down. Fatal exception OD 0028: C000B28C in VXD VMM (01) + 0000A28C several times. However, also 0187:BFF892AD and OE at 0028:BFF88112. One time received message when compacting Access 2000 db, 0028:C000A5E0 in VXP VMM (01) + 000095E0. The Windows logo screen has also hung at shutdown

I called Dell and the tech didn’t have a clue and their solution was to reformat to original config, not acceptable. Otherwise, they said call Microsoft and pay. Also my last alternative.
