How can I transfer AD from a WS 2000 to 2003?

I want to to transfer a windos server 2000 AD with DC to a Windows server 2003. Do I need to transfer the DC with the AD? Can I just transfer the AD by itself? Does the 2003 server have to be in the network to do this?
