Ms SQL 2005 sp2 on Windows Server 2008

Currently we’re running SQL 2005 sp1 on Windows Server 2005 sp2 x64 Enterprise

server runs on 64Gb of ram, 2.4GHz 8core AMD Opertron

What pros/cons after upgrading SQL to SP2 and moving it to Windows Server 2008 x64 Enterprise?
