Network Monitor Driver

We would like to install the Network Monitor Driver on all our Windows 2000 Professional systems. Before doing so, our Manager has requested the following information:

1. Are there any performance issues related to the Network Monitor Driver being installed?

2. Are there any security issues related to the Network Monitor Driver being installed? Does this open up any security holes?

Any information would be appreciated.
