Promote Exchange server to a Domain Controller

We are limited in the number of servers we have and my boss wants me to promote our Exchange 2003 server to a second Domain Controller rather than get a new server. Is this do-able and if so what should I watch out for(ie stop exchange server during the upgrade)?
