SQL 2008 Replication

Here is the situation. We are going to update the one current SQL server into a server 2008 SQL 2008 install.

On top of that we are going to have another SQL install with the same versions. I want to replicate the databases with one of them being read-only.

What would I have to do licensing wise for the secondary server to be a backup in passive read only mode.
