Swap out a domain server with a new one

I have a question. I need to swap out a old server with a new one. Both running 2003 server r2. My question is, can i just setup the new server with the same ip as the old one, backup the active directory database from the old one and install it on the new one. The old one is a domain server and a exchange server is on the network, but on a totally different system. My hope is to avoid having to go to each workstation and reconnect all the share drives.
