Upgrading Win2K DC with new Windows 2003 DC

We have a Win2K DC with Active Directory in a domain with 5 other Win2K servers that are data servers. We are getting a new IBM XSeries server (Windows Server 2003)that will become our new DC with Active Directory in this domain. The old Win2K DC will be demoted and disk wiped to become a data server. What I need to do is setup the new 2003 server as a DC, and migrate the Active Directory from the current Win2k DC to the new 2003 DC, and whatever else. There will be no Exchange to be migrated.
I need to know the steps involved with this process. I see many hits on the web for it, but they discuss upgrading the server OS. Again, I will be setting up a new box to replace the current Win2K DC.
