Boot Problem

PC will not boot from HD or Floopy. New Tyan S1598 MB, 64meg Memory(kingston) recommend by MB manufacturer. New Intel 233MMX processor. Also new ATX case with 250W power supply. HD previously used in with 486 CPU. No problems. Have tried booting with bare essentials of video card. Intial boot sees floopy, memory of 64 megs, CD-ROM drive. Thoughts, comments suggestions will greatly appreciated. Beating head against PC for two weeks.
