Hardware Problem ?

I have a pentium(S) 133MHZ, 8Mb RAM, ChipSet OcTek(OCEAN) with MEGATRENDS BIOS and Hard Disk 4.5Gb. I Use it for internet surfing.
Now i need to upgrade memory to 32Mb RAM. So, i replaced my 8Mb SIMM RAM with 32Mb DIMM RAM.
FIRST time the computercounts again 8Mb RAM, and i could?nt get in to my win95, so i restarted the machine.

SECOND time i receieve an error message like
WHILE INITIALIZING IOS…
WINDOWS PROCTECTING MODE LOCKED THE SYSTEM YOU NEED TO RESTART THE MACHINE

PRESS ANYKEY TO RESTART…

Now, i receive a continuos beep and the machine does stop beeping even if a replace with 8Mb SIMM RAM.

Is it a hardware or software problem, how can i solve this?
