auto shutdown

I have installed a ‘matched/combo MB and processor’. Nothing is on board but power, 512 MB Memory and PCI VIDEO card. Running XP Pro. System beeps once then shuts down? There is a cpu fan attched to processor. Both it and chasis fan are running.
