Covert External HD to NTFS?

I have 2 Western Digital external hard drives (FAT32) connected to my laptop via USB. Any reason(s) why I cannot or should not convert them to NTFS?

System = Toshiba; Intel 2.0 Ghz; 1 Mb RAM; XP Pro

I guess you wanted to say convert. The NTFS format is more fault tolerant than FAT32 that would be reason enough for me to convert. The only reason not to is if you will find yourself connecting these drives to a Windows 9x system which would be unable to read NTFS.
