Excel 97 to Excel XP problem

I have a problem with an excel spread sheet coming from excel 97 to excel XP. When I try to open the spread sheet I get the following message: MS Office Excel has encountered a problem and needs to close. We sorry for the inconvenience.
I have been at the MSKB but have not been able to find an answer. Any help would be appreciated.
