Hard ware

Pentium 3 Celeron with Win XP onboard shuts down while in operation and reboots, this PC also had the same problem when running Win 98, Any info would be appreciated.

It could be a number of things

Like a defective memory stick, memory stick not seated compleatly, memory mismatched, bad power supply (it will boot you system but after running many programs it will slowdown or reboot). Also look to the hard drive itself. Try booting to a 95/98 boot disk and running scandisk /autofix. Try a larger p/s first 500w to see it helps.

I have also had this type of thing from a poorly seated CPU.

However, if it did it with win98, I would be suspicious of the power supply or connecting cables. Most other things will just cause 98 to hang.

I think your pc problem can be resolved

1- If you change the RAM ( Use one PC100 )
2- And set correctly the CPU speed ex:800Mhz=100*8
or 66*12
Hope this will do solve your problem.
